Terms of Service

These Terms govern your use of the JoJo bot (and other Custom Discord Bots we operate) and the QuadstroNot storefront bot (together, the "Services"). By adding, using, or paying for the Services, you agree to these Terms. If you are accepting on behalf of a Discord server or organization, you confirm you are authorized to do so.

Other Starhold products (such as Shushgame) are governed by their own terms. Our Privacy Policy applies to all of them.

1. Who you are agreeing with

The Services are provided by Copper Jerky LLC, an Arizona limited liability company doing business as Starhold Software ("Starhold", "we", "us"). Contact: hello@starhold.dev.

2. Eligibility

You must be at least 13 years old to use the Services (matching Discord's minimum age). To purchase a subscription or other paid service, you must be 18 or older, or otherwise old enough to enter a binding purchase under the laws that apply to you — some jurisdictions permit minors to make certain purchases (for example, with their own payment card), and where your local law allows it, that is acceptable. If you are a minor and your local law requires it, a parent or guardian must consent to or make the purchase. You must also comply with Discord's Terms of Service at all times.

3. What the Services do

The JoJo bot is a Discord audit and moderation tool: it caches messages in the channels a server chooses to watch, reports deletions and edits with attribution, and offers admin tools (search, retention controls, redaction, digests, starboard, reaction-roles). The QuadstroNot bot powers our storefront presence on Discord: catalog information, support tickets, and relaying order and inquiry forms to us. Details of what data this involves are in the Privacy Policy.

4. Your responsibilities

5. Server operators and member data (important)

The JoJo bot caches messages from the server in which it is installed. As the operator of that server, you are the controller of your members' content — you decide what is watched and for how long. You are responsible for providing your members any notice or obtaining any consent that the laws applicable to you and your community require, and for using the tools we provide (per-channel retention, on-demand purge, user and channel exclusion, PII redaction) appropriately. Starhold operates the bot on your behalf as a processor and does not use that content for any purpose beyond running the Service.

6. Subscriptions, billing, and price

Paid Services (such as a Custom Discord Bot subscription) are billed through Stripe on a recurring basis — currently monthly — and renew automatically until you cancel. You authorize us, via Stripe, to charge your payment method each period. If a payment fails, we may suspend the Service until it is resolved. We may change pricing prospectively with reasonable advance notice; changes never apply retroactively to a period you have already paid for. You are responsible for any applicable taxes.

7. Cancellation and refunds

You may cancel at any time from your account or by emailing hello@starhold.dev. Cancellation takes effect at the end of your current paid period, and the Service continues until then. Fees already paid are non-refundable, and we do not provide partial or pro-rated refunds for the current period. See our Refund Policy for billing-dispute handling; you always retain your card network's chargeback rights.

8. Custom and quoted work

Any bespoke development or automation we quote is governed by the written quote for that engagement, which controls over these Terms where they conflict for that work.

9. Intellectual property

The Services, including all software, designs, and content we provide, are owned by Starhold and protected by law — all rights reserved. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services while your account is in good standing. You retain ownership of your own content. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them to improve the Services (feature requests may benefit all customers).

10. Suspension and termination

You may stop using the Services at any time by removing the bot and cancelling any subscription. We may suspend or terminate your access if you violate these Terms or Discord's Terms, use the Services unlawfully or abusively, or fail to pay. Where practical we will give notice; for serious violations we may act immediately. Sections that by their nature should survive termination (ownership, disclaimers, liability limits, indemnification, governing law) survive.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that they will catch or preserve every message, deletion, or edit. The Services depend on Discord and Stripe, which we do not control; we are not responsible for their outages, changes, or actions.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STARHOLD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, GOODWILL, OR REVENUE, ARISING OUT OF OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Starhold from any claims, damages, or costs (including reasonable legal fees) arising from your use of the Services, your content, your violation of these Terms or Discord's Terms, or your violation of any law or the rights of others.

14. Third-party services

The Services integrate with Discord and Stripe, each governed by its own terms and policies. We are not responsible for those services, and your use of them is at your own risk and subject to their agreements.

15. Changes to the Services and these Terms

We may modify or discontinue features, and we may update these Terms as the Services evolve. We will revise the effective date and, for material changes, give reasonable notice. Continued use after a change means you accept the updated Terms.

16. Governing law and venue

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. You agree that any dispute will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to their jurisdiction.

17. Dispute resolution

Before filing anything, you agree to contact us at hello@starhold.dev and give us 30 days to resolve the matter informally — most issues are settled quickly this way. To the extent permitted by law, claims must be brought in an individual capacity and not as part of a class or representative action.

18. General

If any provision is found unenforceable, the rest remain in effect. These Terms, together with the Privacy Policy, Refund Policy, and any written quote, are the entire agreement between us. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to a successor (for example, on the entity's rename or sale). Neither party is liable for delays caused by events beyond its reasonable control.
